By accessing or using Measurely ("Service", "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these terms, you may not use our service.
These terms apply to all users of the service, including contractors, customers viewing invoices, and any other visitors.
2. Description of service
Measurely is a Software-as-a-Service (SaaS) platform that provides tools for contractors and trade professionals to:
- Measure areas, lengths, and perimeters for projects
- Create professional quotes and estimates
- Generate and manage invoices
- Manage customer relationships and project data
- Process payments through integrated payment systems
- Schedule and manage appointments
The service is designed for contractors including but not limited to jetwashers, driveway layers, installers, landscapers, and other trade professionals. Members of the public may access the platform to view and pay invoices.
3. Eligibility and account registration
3.1 Eligibility requirements
To use this service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding agreements
- Not be prohibited from using the service under applicable laws
- Provide accurate and complete registration information
3.2 Account responsibilities
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Immediately notifying us of any unauthorized access
- Providing accurate, current, and complete information
- Updating your information to keep it accurate and current
4. Acceptable use policy
4.1 Permitted uses
You may use the service for legitimate business purposes, including:
- Creating accurate measurements, quotes, and invoices for your business
- Managing customer relationships and project data
- Processing legitimate business payments
- Communicating with customers through the platform
4.2 Prohibited activities
You may not:
- Use the service for any illegal activities or purposes
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Upload malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to our systems
- Interfere with the proper functioning of the service
- Create fraudulent accounts or impersonate others
- Spam, harass, or abuse other users
- Use the service to compete with us or reverse engineer our platform
4.3 Professional responsibilities
As a contractor using our service, you acknowledge that:
- You are solely responsible for the accuracy of measurements and calculations
- You must comply with all applicable building codes, regulations, and industry standards
- You are responsible for appropriate pricing, taxes, and legal compliance
- The platform is a tool to assist your business but does not provide professional advice
5. Subscription and payment terms
5.1 Subscription plans
Our service is offered through various subscription plans with different features and pricing. By subscribing, you agree to pay the applicable fees for your chosen plan.
5.2 Billing and payments
- Payment processing: All subscription payments are processed securely through Stripe
- Billing cycle: Subscription fees are charged in advance on a recurring basis (monthly or annually)
- Payment methods: We accept major credit and debit cards as processed by our payment provider
- Failed payments: If payment fails, we may suspend service until payment is resolved
- Currency: All fees are charged in the currency specified at the time of purchase
5.3 Refunds and cancellations
- You may cancel your subscription at any time through your account settings
- Cancellation takes effect at the end of your current billing period
- No refunds are provided for partial billing periods, except as required by law
- You retain access to paid features until the end of your billing period after cancellation
5.4 Price changes
We may change our pricing with 30 days' advance notice. Price changes will take effect at your next billing cycle. You may cancel your subscription if you do not agree to the new pricing.
6. Customer invoice payments
6.1 Payment processing
When enabled, customer invoice payments are processed through integrated third-party payment providers (primarily Stripe). We do not store full credit card details on our servers.
6.2 Contractor responsibilities
- You are responsible for the accuracy of invoice amounts, taxes, and descriptions
- You must comply with all applicable tax and regulatory requirements
- Payment disputes, chargebacks, and refunds are primarily between you and your customer
- You are responsible for any payment processing fees charged by third-party providers
6.3 Platform role
Measurely acts as a technology platform facilitating payments but is not a party to the underlying transaction between contractor and customer. We do not provide financial, tax, or legal advice.
7. Intellectual property rights
7.1 Our intellectual property
The Measurely platform, including its design, functionality, trademarks, logos, and proprietary technology, is owned by us and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
7.2 Your content
You retain ownership of content you create using our platform, including measurements, quotes, invoices, customer data, and project information. By using our service, you grant us a limited license to:
- Store, process, and display your content as necessary to provide the service
- Make backups and ensure data redundancy
- Analyze usage patterns in aggregate (anonymized) form to improve our service
7.3 Third-party content
You must not upload or include content that infringes on third-party intellectual property rights. You are responsible for ensuring you have all necessary rights to use any content in your projects.
8. Data and privacy
We take data protection seriously and implement appropriate technical and organizational measures to protect your information. Our data practices are governed by:

- However, we do not guarantee uninterrupted, error-free, or completely secure service

- We are not responsible for issues caused by third-party services, internet connectivity, or force majeure events
9.2 Service modifications
We reserve the right to modify, update, or discontinue features of our service at any time. We will provide reasonable notice for significant changes that materially affect your use of the service.
9.3 Updates to terms
We may update these terms from time to time. When we make material changes, we will:

- Notify users via email or in-app notification
- For significant changes, provide 30 days' notice before they take effect
Continued use of the service after changes take effect constitutes acceptance of the new terms.
10. Disclaimers and warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- Warranties of merchantability, fitness for a particular purpose, or non-infringement
- Warranties that the service will be uninterrupted, error-free, or completely secure
- Warranties regarding the accuracy, reliability, or completeness of content or results
10.2 Measurement and calculation disclaimer
IMPORTANT: While our platform provides measurement and calculation tools, you are solely responsible for:
- Verifying the accuracy of all measurements and calculations
- Ensuring measurements comply with applicable building codes and regulations
- Obtaining professional verification when required
- Any errors or omissions in your quotes, invoices, or project specifications
11. Limitation of liability
11.1 Limitation scope
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEASURELY SHALL NOT BE LIABLE FOR:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
- DAMAGES RESULTING FROM SERVICE INTERRUPTIONS, ERRORS, OR SECURITY BREACHES
- DAMAGES CAUSED BY THIRD-PARTY SERVICES, PAYMENT PROCESSORS, OR INTEGRATIONS
- DAMAGES FROM MEASUREMENT ERRORS, CALCULATION MISTAKES, OR PROFESSIONAL DECISIONS
11.2 Monetary limitation
Our total liability to you for all claims arising from or relating to the service shall not exceed the greater of:
- The amount you paid us in the 12 months preceding the claim
- £100 (or equivalent in your local currency)
11.3 Exceptions
These limitations do not apply to liability that cannot be excluded by law, including death or personal injury caused by our negligence, or fraud or fraudulent misrepresentation.
12. Indemnification
You agree to defend, indemnify, and hold harmless Measurely, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the service or violation of these terms
- Your content, quotes, invoices, or customer interactions
- Your violation of any third-party rights or applicable laws
- Your professional work, measurements, or business decisions
13. Termination
13.1 Termination by you
You may terminate your account and stop using the service at any time by:
- Canceling your subscription through account settings
- Contacting our support team
- Following the account deletion process
13.2 Termination by us
We may suspend or terminate your account immediately if you:
- Violate these terms or our policies
- Engage in fraudulent or illegal activities
- Fail to pay required fees
- Abuse or attempt to harm our service or other users
13.3 Effect of termination
Upon termination:
- Your access to the service will be immediately revoked
- You may lose access to your data (subject to our data retention policies)
- Outstanding payment obligations remain due
- Sections relating to liability, indemnification, and dispute resolution survive termination
14. Governing law and dispute resolution
14.1 Governing law
These terms are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
14.2 Dispute resolution
Any disputes arising from these terms or your use of the service will be resolved through:
- Informal resolution: We encourage you to contact us first to resolve disputes informally
- Mediation: If informal resolution fails, disputes may be subject to mediation
- Court jurisdiction: The courts of England and Wales have exclusive jurisdiction over any legal proceedings
15. General provisions
15.1 Entire agreement
These terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Measurely regarding the service.
15.2 Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will remain in full effect.
15.3 Assignment
You may not assign or transfer these terms without our prior written consent. We may assign these terms in connection with a merger, acquisition, or sale of assets.
